Legal Notice, Terms & Conditions, and Privacy Statement

1. Confidentiality & Legal Notice

This document, including all related emails, files, communications, or materials (“Communication”), is confidential and the property of Stander Investment Holdings (Pty) Ltd (“SIH”). It is intended solely for the designated recipient.

Any unauthorised review, copying, distribution, storage, dissemination, forwarding, or use of this Communication is strictly prohibited. If you are not the intended recipient, notify SIH immediately and permanently delete all copies.

Unless expressly stated otherwise, the views contained in this Communication are those of the sender and do not represent SIH. SIH accepts no liability for unauthorised use, alteration, loss, corruption, or misinterpretation of this Communication or its attachments.

No waiver, obligation, agreement, representation, or commitment made on behalf of SIH is valid unless contained in a formally executed written instrument signed by an authorised SIH signatory.

2. Confidentiality & Non-Circumvention Agreement (NCNDA)

By receiving, reviewing, accessing, or discussing any SIH materials or communications, you acknowledge that a binding Confidentiality, Non-Disclosure, and Non-Circumvention Agreement is automatically in effect.

You agree that:

  • All commercial introductions, opportunities, project information, intellectual property, structures, advisory materials, client data, and investment propositions originate from SIH and remain SIH’s proprietary information.
  • You may not bypass, approach, contract with, negotiate with, or conduct business—directly or indirectly—with any party introduced by SIH without SIH’s prior written approval.
  • These protections apply to all current, future, or subsequent introductions relating to investment, equity, financing, joint ventures, advisory projects, property, or commercial transactions.

3. Data Protection & International Privacy Compliance

SIH complies with the following frameworks:

  • South Africa POPIA (Act 4 of 2013)
  • EU General Data Protection Regulation (GDPR)
  • UK Data Protection Act
  • OECD cross-border privacy standards

Personal information may be processed, stored, or monitored for compliance, security, anti-money‑laundering, and regulatory purposes. Monitoring is not continuous and only occurs as permitted by law.

Data subjects retain all rights of access, correction, objection, and withdrawal under applicable privacy legislation.

4. Place of Performance & Tax Residency Clauses

  • All SIH consulting, advisory work, deliverables, and executive actions are performed exclusively within South Africa, irrespective of travel or meeting locations.
  • International engagements are preparatory or informational only and do not constitute locations of performance or delivery.
  • SIH’s presence in foreign jurisdictions does not create a permanent establishment, habitual base, or taxable presence.
  • All final contractual outputs, structures, strategies, and deliverables originate solely from SIH in South Africa.

5. Subcontractor Status

All subcontractors engaged by SIH act strictly as independent external consultants. They are not authorised to bind, represent, negotiate for, or act on behalf of SIH in any capacity unless expressly permitted in writing.

6. Operational Sovereign Control

SIH is owned, controlled, directed, and managed exclusively within South Africa. Any international presence, travel, or participation by SIH directors or personnel does not alter SIH’s jurisdiction, tax residency, or operational locus.

7. Reservation of Rights

SIH reserves all commercial, intellectual property, legal, and strategic rights relating to all materials, disclosures, structures, opportunities, and methodologies shared. No rights are transferred unless expressly granted in a signed, written agreement.

8. Website Use & Information Handling

When accessing SIH websites or digital platforms:

  • Personal information is used solely for internal purposes, service improvement, communication, research, or compliance.
  • SIH does not sell, lease, or distribute personally identifiable information to third parties except when required by law.
  • Website analytics, cookie data, and IP logs may be used to enhance user functionality and security.
  • Materials may be downloaded for personal or direct business use but may not be republished, redistributed, or incorporated into external publications without written permission.
  • Hyperlinks to SIH websites may not be created without SIH’s prior written approval.

Any information submitted through SIH websites becomes the property of SIH and may be used for any lawful purpose.

9. Conduct & Acceptable Use

Users may not:

  • Restrict or inhibit others from using SIH platforms
  • Post unlawful, defamatory, abusive, fraudulent, harmful, or malicious content
  • Upload viruses, malware, or harmful components
  • Engage in data scraping, screen scraping, or the extraction of proprietary information
  • Access restricted, protected, or confidential areas without authorisation

SIH may suspend access to its systems in cases of misuse.

10. Limitation of Liability

Use of SIH communications, materials, systems, or websites is entirely at your own risk.

SIH shall not be liable for any:

  • direct or indirect losses
  • special, consequential, or incidental damages
  • loss of profits, data, or savings
  • harm arising from website use, reliance on materials, or third-party links

All SIH materials are provided “as is, where is, with all faults” without warranties of any kind.

11. Intellectual Property

All SIH content—including documents, communications, strategies, logos, trademarks, intellectual property, and digital materials protected by applicable copyright, trademark, patent, and proprietary laws.

No reproduction, modification, redistribution, or derivative works are permitted without SIH’s express written consent.

12. Governing Law & Jurisdiction

This Agreement, including all notices, disclaimers, terms, and obligations, is governed by and interpreted in accordance with the laws of the Republic of South Africa.

All disputes, claims, or proceedings arising from or relating to SIH communications, advisory services, documents, website use, or any engagement with SIH fall under the exclusive jurisdiction of the courts of South Africa.
By engaging with SIH, you consent to the jurisdiction of these courts for all matters arising.
